BOSS-IQ Terms of Service

These Terms of Service (“Terms”) are a contract between you and Blueprint IQ Yazılım ve Danışmanlık Anonim Şirketi (“Blueprint IQ AŞ”, “we”, “us”), operator of the BOSS-IQ service (“BOSS-IQ”, the “Service”).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a company, you represent that you are authorized to bind that company. Acceptance is captured at signup through an affirmative action (an unchecked box you tick), and we record the version and timestamp of what you agreed to.

1. The Service

BOSS-IQ is an AI-powered strategic-planning platform for business owner-operators. You provide information about your business and strategic questions; BOSS-IQ uses artificial-intelligence agents to research, analyze, and generate strategy documents and related outputs.

BOSS-IQ is a tool for business and professional use by an owner-operator on behalf of their organization. It is designed for a single owner-operator user per organization. You may invite expert reviewers to review specific completed documents.

2. Eligibility and accounts

  • You must be at least 18 years old and capable of forming a binding contract.
  • You are using the Service for business or professional purposes, not as a consumer.
  • You are responsible for the accuracy of your account information and for maintaining the security of your login credentials.
  • You are responsible for all activity that occurs under your account.

Authentication is provided through our third-party identity provider (see the sub-processor list).

3. AI output — no professional advice, no guarantee of accuracy

This is the most important thing to understand about BOSS-IQ.

  • BOSS-IQ is an artificial-intelligence system. Its analyses, recommendations, and documents are generated by AI and may be inaccurate, incomplete, biased, or out of date.
  • BOSS-IQ output is decision-support material only. It is not professional, legal, financial, tax, accounting, or investment advice, and it is not a substitute for the judgment of qualified professionals.
  • You are solely responsible for reviewing, verifying, and deciding whether and how to act on any BOSS-IQ output. We strongly recommend using the human expert-review feature for high-stakes decisions.
  • We make no warranty that any output is accurate, reliable, fit for a particular purpose, or will produce any particular business result.

This Section, together with the AI-transparency notice provided at signup and in the Privacy Policy (Section 9), is provided in satisfaction of the transparency obligation under Article 50 of the EU AI Act for a limited-risk AI system.

4. Acceptable use

You agree not to:

  1. upload or process content you do not have the legal right to provide, or that infringes the rights of others;
  2. upload personal data of third parties that you are not authorized to share for processing as described in the Privacy Policy;
  3. use the Service to violate any law or regulation;
  4. attempt to extract, reverse-engineer, copy, or reconstruct the BOSS-IQ prompts, agent instructions, models, taxonomy methodology, or other underlying intellectual property, including by automated querying, scraping, or systematic probing designed to elicit the system’s instructions or replicate its behavior;
  5. circumvent or attempt to circumvent usage limits, rate limits, credit controls, security controls, or access restrictions;
  6. access the Service, or any account, environment, or endpoint, that you are not authorized to access;
  7. resell, sublicense, or provide the Service to third parties except as expressly permitted; or
  8. interfere with or disrupt the integrity or performance of the Service.

We may suspend or terminate access for violations of this Section.

5. Your content and intellectual property

5.1 Your content

As between you and us, you own the business content you upload and the strategy documents BOSS-IQ generates for you (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content to our sub-processors solely to provide, operate, secure, and improve the Service as described in the Privacy Policy (including the AI-evaluation/improvement use described there, which you may opt out of as described in the Privacy Policy, Section 5). We do not sell your Customer Content.

5.2 Our intellectual property

The BOSS-IQ platform — including its software, AI agent prompts and instructions, taxonomy and methodology, models configuration, design, and all related intellectual property — is and remains owned by Blueprint IQ AŞ and its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you. The brand and product name BOSS-IQ are ours.

5.3 Feedback

If you give us feedback or suggestions, we may use them without obligation to you.

6. Credits, billing, and payments

BOSS-IQ is offered on a credit-based, pay-as-you-use model. Payments are processed by our third-party payments provider acting as Merchant of Record (see the sub-processor list); we do not store your card details.

  • Credits are consumed as you use the Service.
  • Fees, credit pricing, and any markups are as presented to you at the time of purchase or in your plan.
  • Applicable taxes (including VAT) are handled by our Merchant-of-Record payments provider and shown at checkout.
  • Except as required by applicable law, purchased credits and fees are non-refundable.

7. Third-party sub-processors

The Service relies on third-party sub-processors to function. By using the Service you acknowledge that Customer Content will be processed by the sub-processors listed in our public sub-processor list, under the data-protection terms described in our Privacy Policy and Data Processing Agreement.

8. Expert review

If you invite an expert reviewer, you are responsible for ensuring you have the right to share the relevant document and the reviewer’s contact details with us for that purpose. Reviewers may submit feedback that is incorporated into your documents.

9. Service availability and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we may update the Service and these Terms from time to time. Material changes will be notified as described in Section 14.

10. Suspension and termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal risk or harms the Service or other users.
  • On termination, your right to use the Service ends. Handling of your data after termination is described in the Privacy Policy (retention) and the DPA.

11. Disclaimers

To the maximum extent permitted by law, the Service and all output are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI output (see Section 3). Nothing in this Section limits any warranty or right that cannot be excluded under applicable mandatory law.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • Blueprint IQ AŞ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service or any reliance on its output.
  • Our total aggregate liability for all claims relating to the Service is limited to the total amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. The cap and exclusions above do not apply to: (a) death or personal injury caused by our negligence; (b) our fraud, willful misconduct, or gross negligence (ağır kusur), to the extent these cannot be limited under Article 115 of the Turkish Code of Obligations; © either party’s liability for infringement of the other’s intellectual property; or (d) your payment obligations.

13. Indemnification

You agree to indemnify and hold harmless Blueprint IQ AŞ from third-party claims arising out of (a) your Customer Content, (b) your violation of these Terms or applicable law, or © your infringement of any third-party rights, except to the extent the claim is caused by our own breach of these Terms or our negligence. We will provide you reasonable defense for any claim that the Service itself, as provided by us and used in accordance with these Terms, infringes a third party’s intellectual-property rights, subject to the limitation of liability in Section 12.

14. Notices and updates

We may provide notices to you by email (to your account address) or by posting in the Service or on boss-iq.io. We will post updated Terms here with a new “Last updated” date; continued use after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye, and the courts and enforcement offices of İstanbul (Çağlayan), Türkiye have exclusive jurisdiction. Because the Service is provided for business and professional use (Section 1), consumer-protection regimes are generally not intended to apply; however, nothing in these Terms removes any mandatory consumer-protection right that applies to you under the law of your country of residence where such law applies despite the choice of Turkish law.

16. Miscellaneous

These Terms, together with the Privacy Policy and (where applicable) the DPA, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
